The rule changed

As reviewed on October 15, 2026, FinCEN states that entities created in the United States and their beneficial owners are exempt from Corporate Transparency Act BOI reporting. A US-formed LLC does not become a foreign-created entity just because its owner lives abroad.

Some foreign-created entities may still need to report

The current reporting framework can apply to certain entities formed under another country’s law and registered to do business in the US, subject to exemptions. This is a different situation from forming a new US LLC.

What to do with an unexpected demand

Open FinCEN’s official BOI page independently. Check which entity a notice refers to, who sent it, and which rule it relies on. Do not pay just because a message includes an urgent deadline or uses government-style branding.

Ask a precise question

Instead of asking “Does every LLC need BOI?”, ask “Was my entity created in the US or abroad, and what does the current rule require for that entity?” Get a qualified review if your structure is unclear.

Keep the review date in mind
